Terms and Conditions
Channel Program - Sales Partnerrevision 1.112th June 2008 1. DEFINITIONS AND INTERPRETATIONThese Specific Terms and Conditions are to be read in conjunction with our Master Services Agreement. All definitions set out in the Master Services Agreement shall, unless otherwise specified below, have the same meaning when used in these Specific Terms and Conditions. For the purpose of these Specific Terms and Conditions:“Partner ID” means a unique identifier that is assigned to each Sales Partner. “Quarter” means a period of three calendar months. “Quarter Periods” refer to the following: Quarter 1 (or Q1) is from 1st January to 31st March Quarter 2 (or Q2) is from 1st April to 30th June Quarter 3 (or Q3) is from 1st July to 30th September Quarter 4 (or Q4) is from 1st October to 31st December "Referral Commission" means the sum quoted on the Sales Partner Services document. “Sales Partner” means a person, role or company that refers clients to Gravity Internet in order to receive commission for successful referrals. “Sales Partner Services List” is a document provided to Sales Partners that details all eligible services and their specified rates of commission, under this program; 2. SALES PARTNERS2.1 These Terms and Conditions automatically rescind all previous commission-based services from Gravity Internet prior to 1st June 2008.2.2 Enquiries and applications for Sales Partner status sent to channel@gravityinternet.net 2.3 Once approved, Gravity Internet will provide a unique identifier (Partner ID) to each Sales Partner. 3. REFERRALS AND COMMISSION PAYMENTS3.1 Any business referred to Gravity Internet from the Sales Partner must include their channel ID. All commission is recorded against the unique channel ID.3.2 Commission rates are detailed for each service within the Sales Partner Services List. 3.3 Commission is recorded against each Partner ID, for each Quarter period, upon the successful sign-up of each referral. 3.4 On the first day of every Quarter, Gravity Internet will send a statement to the Finance Contact of the Sales Partner detailing all the commission earned to date. 3.5 The Sales Partner can then invoice Gravity Internet for commission earned based upon the statement received. 3.6 Commission is paid once only. 3.7 Although we adhere to communicate all changes, we reserve the right to amend our prices at any time, whereby the commission will be calculated based upon the current price of the service at the service delivery date. 4. CHARGES4.1 There are no charges, setup or recurring, included with the Sales Partner program.5. TERMINATION5.1 The Sales Partner may terminate their membership to the Sales Partner program at any time without incurring any liability.5.2 We may terminate the membership of any Sales Partner to this program at any time without incurring any liability. 6. NOTICES6.1 You agree to keep the contact details which you have provided to us up to date. Any notice or otherinformation to be served by us on you in accordance with this Agreement will be validly sent if in writing and sent by either e-mail or first class post to your last known e-mail or postal address. Any notice sent by first class post will be deemed served two days after posting. Any notice sent by e-mail will be deemed served on the day that it is sent. 6.2 Any notice to be served on us must be in writing and sent either by pre-paid first class post to our registered office or by e-mail to channel@gravityinternet.net or to such other address as may be specified by us to you for this purpose from time to time. Any notice sent in accordance with this sub-clause will only be deemed served if and when you have received a written acknowledgement from us. |
